Provideo Asset Support System ("PASS") Membership Rule
Article 1. (Scope)
This Provideo Asset Support System Membership Rule ("Rule") describes
the terms and conditions for the use of the service at the Provideo Asset Support
System ("Service") provided by Panasonic Connect Co., Ltd. ("Panasonic").
If any term or condition of this Rule is inconsistent with any term or
condition of any other written agreement made between the Member and Panasonic
(or any of its subsidiaries) relating to support for Panasonic products
purchased by the Member, the term or condition of the other written agreement
shall override the inconsistent term or condition of this Rule. Article 2. (Member)
"Member" shall mean the entity or person which was agreed the
terms and conditions of this Rule and registered the User Registration
as set forth in Article 3. Article 3. (User Registration)
3.1 The employee or employer working for the Member which owns the product,
in principle, declared in any way ("Products") shall be entitled
for registration. The employee or employer working for the Member which
does not own the product shall also be entitled for registration; however,
the content of the Service is determined and limited by Panasonic. On that
premises any content which is entitled for the employee or employer working
for the Member which owns the products, shall only be applies to the Member
who owns the product.
3.2 Any applicant who wishes to register shall put on record the information
related to the Member applicant, such as "Employee's working section",
"Equipment owned by the Member".
3.3 All applicants are regarded to agree with the Rule upon the application.
3.4 The registration is completed upon Panasonic's approval. Panasonic
informs the applicant of the approval by sending an e-mail to the e-mail
address that the applicant registered, indicating on PASS or other method
as Panasonic thinks appropriate.
3.5 Panasonic reserves, at its sole discretion, the right to disapprove
the application for the following reasons. Panasonic shall not be obligated
to inform any unsuccessful applicant of the reason of disapproval.
(1) In the event that applicant's former "Member" status was
deprived in accordance with the Rule;
(2) In the event that false information was contained in the application;
(3) Panasonic determined, at its sole discretion, that the acceptance of
application was inappropriate in view of corporate social responsibility. Article 4. (Update the registered information)
The Member is obliged to inform immediately any change of the registered
information, such as e-mail address and the Product registered, through
method as specified by Panasonic. Article 5. (Service)
5.1 Panasonic provides the Member with the Service for the Product as follows:
-Mail service
-Web service
-Other member's voice
-Product support information and history
The Member which does not own the product shall not entitle with content
which is limited to the Member which owns the Product. However, in the
event that the Member purchases the Product and register to the Service
the Member is entitle with content which is limited to the Member which
owns the Product.
5.2 Without prior consent of the Member, Panasonic reserves the right,
for any reason and at its sole discretion, to terminate, modify or change
the scope, item and menu of Service. Article 6. (Information provided to the Member)
Panasonic may, at its own discretion, provide information related to the
Service and/or this Rule to the Member based on the information provided
and registered by the Member. Article 7. (Termination or suspension of e-mail services)
Panasonic reserves the right, at anytime and at its sole discretion, to
terminate or suspend the e-mail services without prior notice to the Member
in the following cases;
(1) In the event that the e-mail address of the Member has not be updated;
(2) In the event that the e-mail address of the Member not correct;
(3) In the event that Panasonic reasonably determined that e-mail communication
is difficultArticle 8. (The use of the Services)
The Member is fully responsible for the information provided through the
Services and shall protect Panasonic from loss or inconvenience. Article 9. (Compliance with export control laws)
In order to maintain international peace and security, the Member represents
and warrants that the Member complies with the following items regarding export control:
(1) Comply with export control laws of the Member's home country and any other country where its export control laws apply outside of such country's territory;
(2) The Member do not engage in transactions involving weapons of mass destruction, conventional weapons, nor transactions with customers with such concerns. Article 10. (ID and Password)
10.1 The Member shall fully and totally responsible for all use of and for
protecting the confidentiality of ID, e-mail address and Password.
10.2 The Member shall not disclose or make available use of ID and Password
to any third party.
10.3 The Member shall be responsible for all loss or damages caused by the
use of ID and Password.
10.4 In the event that the Member finds the ID or password used by any third
party, the
Member is obliged to inform Panasonic by the instructed method immediately.
10.5 In the event that the ID or password was used, regardless of the Member's
faults, by any third party, and loss or damage was occurred from such unauthorized
use, Panasonic regards such unauthorized use as the Member's use, and the
Member shall be responsible for all loss or damages. Article 11 (Non-Assignment)
This Rule or any part of this Rule (including, without limitation the right
to use the
Service), shall not be assigned or transferred by the Member to any third
party.Article 12 (Purpose and Usage of personal information)
The Member shall understand and agree that Panasonic collects the
Member's personal information ("Personal Information") through
the Service and its associated Service and utilizes for the following purposes:
(1) To enable you to create a profile on our websites, and to enable you to log in to such websites;
(2) To provide our Services or any specific feature that you may request, including to enable us to fulfil our obligations under any contract with you (such as any product or device warranty);
(3) To provide information of software support and associated information for the Products which are registered and supported by the Service through e-mail etc.; Article 13 (Supplement and Amendment)
Panasonic and its group companies shall have the right to add new provision
and to amend the rule without consent of the Member. The Member agrees
in advance that Panasonic may add or amend the operation rule which will
be stated by Panasonic by the appropriate manner, and such additional or
amended rule shall be considered as supplement of this Rule. Article 14 (Preparation for the use of the Service)
The Member shall prepare, at its cost and responsibility, for the necessary
communication devices, software other equipment and telephone communication
contract. Article 15 (Interruption of the Service)
Panasonic may interrupt in whole or part of the Service for any reason
whatsoever without prior notice to Member. Article 16 (Termination of the Service)
Panasonic may terminate the Service for any reason whatsoever. In this
instance, Panasonic shall notify the Member in advance of the termination
of the Service by the method that Panasonic determines as appropriate manner. Article 17 (Withdrawal)
17.1 The Member shall notify Panasonic by the procedures as specified by
Panasonic if the Member wishes to withdraw from the Service by its own
intention. In this instance,
Panasonic shall promptly consent to the request. The Member loses its membership
when
Panasonic accepts the request of the withdrawal from the Service.
17.2 The Member shall promptly inform by the PASS when the Member sold
or dispose the Product.
17.3 In the event that all registered data of the Product is deleted, the
Member shall lose its membership. Article 18 (Termination of the membership)
In addition to the Article 17, Panasonic may, without prior notification
to the Member, choose and take appropriate measures, as Panasonic deems
necessary, such as termination of all or part of the Service, disqualification
from the Service or other measures in the following cases:
(1) It is proved that the Member made false declaration at the time of
User Registration.
(2) The Member breaches this Rule or associated Rule.
(3) The Member committed improper acts which Panasonic determines that
it will cause a problem for the operation of the Service and its associated
Service. Article 19 (Copyright etc.)
19.1 The Member understands and agrees that all copyright, trademark right
and any other intellectual property rights on the information placed in
"PASS" system (including, without limitation, picture, sounds,
sentence, and design) shall belong to Panasonic and its group companies
and/or entities which grant license to Panasonic and its group companies.
The Members should not make objection and claim on such intellectual property
rights against Panasonic and/or any third party in the future.
19.2 The Member shall use the information, software and so on which are
acquired from the Service only for the purpose and scope of the use and
maintenance of the Products.
The Member shall not use or have any third party use the information, software
and so on out of the permitted purpose and scope as provided herein.
19.3 The information, including information with questionnaire survey which
is provided to "PASS" by the Members is allowed to be utilized
freely without limitation by Panasonic and its group companies for the
analysis of products, service, marketing or product development or for
planning of products, service, design and product development, marketing
survey and questionnaire survey. All the rights on specification and design
of the product, and other related rights to develop, manufacture and sell
products are solely belonged to Panasonic and its group companies. Article 20 (Prohibited Acts)
The Member shall not do the following acts during the use of the Service
and accompanied thereto:
(1) Act of releasing and disclosing the login ID and password (including
other Members', hereinafter the same) to third parties;
(2) Act of utilizing the login ID and password for the wrong purpose;
(3) Act of violation or likelihood of violation of the copyrights, industrial
secrets, property, privacy and other rights of Panasonic and its group
companies or third parties;
(4) Criminal act or likelihood of criminal act;
(5) Act of providing any information which is not true;
(6) Act of using and providing harmful computer program through this Service
or in relation to this Service.
(7) Act of hindering or likelihood of hindering operation of this Service
or associated
Service;
(8) Act of giving trouble, disadvantage, loss or likelihood of giving those
to Panasonic and its group companies or third parties;
(9) Illegal act or likelihood of illegal act;
(10) Other acts that Panasonic determines to be inconsistent with Panasonic's
Business Philosophy, Code of Conduct or other corporate rules. Article 21 (Dispute with third parties)
21.1 When the Member gives loss to, or disputes against another Member
or a third party in relation to the Service or associated it, the Member
shall bear the responsibility for, and the expense of, its resolution and
Panasonic and its group companies will not bear the burden or any such
loss.
21.2 When the Member gives loss to Panasonic and its group companies by
unjust measures,
Panasonic and its group companies may claim for all the loss to the Member. Article 22 (Indemnification)
22.1 Panasonic and its group companies will not be responsible for damage,
losses, disadvantage which raised by utilizing this Service and associated
Service and also will not be responsible for damage, losses, disadvantage
which raised by unavailability of service and do not owe any restitution.
22.2 Panasonic and its group companies do not guarantee any accuracy, completeness
or usefulness of the information that the Member receives from the Service
and associated Service. Article 23 (Governing Law and Court of Jurisdiction)
23.1The formation, validity, construction, and performance of this Rule
and each of the Service based upon this Rule shall be governed in all respects
by the laws of Japan.
23.2 The Osaka District Court shall be the court of initial jurisdiction
for all disputes related to the Service and/or this Rule. Article 24 (Discussion)
Any question arising out of, or in connection with, this Rule or any matter
not stipulated herein shall be settled each time upon discussion in good
faith between Panasonic and Member.
