License Agreement Panasonic Corporation ("Panasonic") grants
you a non-exclusive license to use the P2 Products ("file") in
accordance with the terms and conditions below. |

| 1 | You may use this file for purposes within the usage scope of P2 products. |
| 2 | You may make one copy of the file and related documentation, in whole or in part, solely for backup purposes. |
| 3 | Except for the backup copy described in item 2 above, you may not otherwise
copy or modify the file or related documentation. You may not sublicense or transfer the license for the file or related documentation to a third party regardless of whether such sublicense or transfer is free of charge. It is also prohibited to sell files or hardwares created using the file. |
| 4 | You may not reverse-engineer, decompile or disassemble the file in whole or in part. |
| 5 | This Agreement takes effect upon your acceptance of the terms and conditions
herein and upon using the file, and it will remain effective until terminated. If you breach any of the terms and conditions herein, Panasonic reserves the right to terminate this Agreement and the license of the file, and may be entitled to recover from you any damages suffered by Panasonic. Upon termination, you must destroy the file, all related documentation and copies. You may terminate this Agreement at any time by destroying the file, all related documentation and copies. |
| 6 | Panasonic MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING
THE FILE AND RELATED DOCUMENTATION OR USE OF THEM. YOU ARE SOLELY RESPONSIBLE FOR ANY PROBLEM OR EXPENSES ARISING FROM THE file AND RELATED DOCUMENTATION OR USE OF THEM. |
| 7 | IN NO EVENT WILL Panasonic BE LIABLE FOR ANY DIRECT, INDIRECT, OR SPECIAL DAMAGES OR LOSSES ARISING FROM USE OR INABILITY OF USE OF THE FILE OR RELATED DOCUMENTATION. |
| 8 | Panasonic reserves the right to change the file specifications and related documentation without notice. |
| 9 | This Agreement will be governed by and construed in accordance with the laws of Japan. |
| 10 | Installation of downloaded P2 Driver file is at your sole discretion and repairs of P2 units rendered unoperational due to installation of the updated P2 Driver file are not covered by manufacture warranty. |
| Export Rules | |
| You agree that the Software will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other export laws, restrictions or regulations (collectively the "Export Laws"). In addition, if the Software is identified as export controlled items under the Export Laws, you represent and warrant that you are not a citizen, or otherwise located within, an embargoed nation (including without limitation Iran, Syria, Sudan, Cuba, and North Korea) and that you are not otherwise prohibited under the Export Laws from receiving the Software. All rights to use the Software are granted on condition that such rights are forfeited, if you fail to comply with the terms of this agreement. |
